Staff Presentation, Dot Miles Tribute and 2018 BDA AGM Saturday 14th April 2018, 9.00am-16.30pm

NOTICE is hereby given to attend Staff Presentation, Dot Miles Tribute and 2018 BDA AGM. This will be held at 9.00am-4.30pm on Saturday 14th April 2018 at the Manchester Conference Centre, Sackville Street, Manchester M1 3BB.

The Charity Commission have advised us that we need to amend the BDA Articles of Association regarding rewording the Objects and Powers of the Association. The Board of Trustees will now put forward a special resolution at the AGM for the members to vote on the change/amendments.

Special Resolution

Background

  • The current Articles of Association the Charity Commission has on file was adopted on 5th October 2013. This document contains in article 2A “Objects and Powers” This means that both Objects and Powers are regulated by the Charity Commission.

2. Objects

The Association is established for the objects expressed in the Memorandum of Association.

2A. Objects and Powers (as referred to in Article 2 above)

The Association is established to relieve Deaf people and to advance their education and training. In furtherance of such objects but not further or otherwise the Association shall have the following powers

  • New regulations require BDA to consult with the Charity Commission first on any proposed changes before they are presented to members at the AGM.

This means that because the Articles contain both Objects and Powers together then any changes are regulated and if Trustees want to make changes, they first must seek consent from the Charity Commission. By amending items 2A “Objects and Powers” to become new title “Furtherance of Powers” it will allow Trustees who want to make proposed changes in future to the “Furtherance of Powers” then they do not require consent from the Charity Commission first and can present this to members at the AGM.

BDA would like to amend Article 2A to become Furtherance of Powers and at the Annual General Meeting the following resolution will be proposed as a special resolution:

Special Resolution

THAT the Articles of Association of the Company be amended so that the existing Article 2 and the opening paragraph of Article 2A be removed in their entirety and replaced by the following wording:
